Terms of Service

1. Acceptance

By creating an account or using Annex AI ("the Service"), you agree to these Terms of Service ("Terms") on behalf of yourself and, if applicable, the organization you represent ("you" or "Customer"). If you do not agree, do not use the Service. These Terms constitute a binding legal agreement between you and Annex AI ("we," "us," or "Company").

2. Description of Service

Annex AI is a compliance automation and AI governance platform. It helps organizations prepare for and maintain compliance with security and AI governance frameworks including SOC 2, ISO/IEC 27001, ISO/IEC 42001, the EU AI Act, HIPAA, and GDPR. The Service includes automated evidence collection via third-party integrations, AI-generated policy drafts, EU AI Act risk classification, and a public trust center.

The Service is currently in beta. Features may change, and we may introduce pricing at a future date with reasonable advance notice.

3. Accounts and Access

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at contact@annexai.in if you believe your account has been compromised. We reserve the right to suspend or terminate accounts that violate these Terms.

You must be at least 18 years old and have the legal authority to bind your organization to these Terms. The Service is intended for business use, not personal use.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code
  • Resell or sublicense access to the Service without our written consent
  • Use the Service in a way that could damage, disable, or impair its operation
  • Submit false or misleading information to generate compliance documentation

5. Your Data

You retain all rights to data you provide to the Service ("Customer Data"). By using the Service, you grant us a limited license to process Customer Data solely to provide and improve the Service. We do not sell Customer Data to third parties.

You are responsible for ensuring that your use of the Service, and your instructions to us regarding Customer Data, comply with applicable laws. You represent that you have all necessary rights and consents to provide Customer Data to the Service.

6. Third-Party Integrations

The Service connects to third-party platforms (GitHub, AWS, Google Workspace, Okta, Slack, and others) using credentials you provide. You are responsible for ensuring you have the authority to connect these accounts and that doing so complies with the relevant third-party terms of service. We access only the data necessary to perform the specific compliance checks described in our documentation.

7. AI-Generated Content

The Service uses AI to generate policy drafts, risk assessments, and compliance recommendations ("AI Output"). AI Output is provided for informational purposes only and does not constitute legal advice. You are solely responsible for reviewing, verifying, and deciding whether to rely on any AI Output. We strongly recommend having qualified legal and compliance professionals review AI Output before relying on it for actual compliance purposes.

8. Intellectual Property

The Service, including its software, design, and content, is owned by Annex AI and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand elements.

You retain ownership of Customer Data and any content you create using the Service. AI Output generated using your data and context is owned by you, subject to any limitations imposed by the underlying AI providers.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT USE OF THE SERVICE WILL RESULT IN SUCCESSFUL CERTIFICATION UNDER ANY COMPLIANCE FRAMEWORK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANNEX AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Annex AI and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access for violation of these Terms, with or without notice depending on the severity of the violation. Upon termination, your right to access the Service ceases immediately. We will provide a reasonable opportunity to export your data upon request within 30 days of termination, after which we may delete your data in accordance with our retention policies.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. You waive any right to a jury trial or to participate in a class action lawsuit related to the Service.
